Focused Program in Legal and Fiscal Aspects of M&A Procedures
The increase in the volume of corporate operations is a reality in Spain and in the rest of the world. Since April 2017, the number of operations in our country has increased, and supposed an INTERANNUAL INCREASE OF 16%, with a total investment volume of 2,580 million euros.
The main aim of this program is to provide the students with the practical tools required to advise and carry out, from a legal and taxation point of view, any M&A operation.
The program looks at, through the ANALYSIS OF THE MOST RELEVANT CASES, all the matters that should be taken into account regarding this type of corporate operations.
This program is aimed at all those professionals who, in one way or another, are usually involved in the decision making that affects company’s corporate strategy, whether they work for this company or are external advisors.

The course is taught by expert teaching staff who will share their experiences in some of the most relevant operations that have taken place in Spain over the last few years.
The program consists of 14 modules.
Partner. Litigation and Arbitration. ONTIER. Degree in Law from the Madrid Complutense University and a Master’s in Family Law. She began her career at RHGR-ONTIER in 2002. After starting out in the areas of commercial, labour and family law, Cristina has centred her professional career on the field of litigation.
Director of Legal Services Downstream - REPSOL. Degree in Law from the CEU San Pablo University. Federico has spent most of his professional career in REPSOL where he has been Deputy Director of Industrial Legal Issues, Deputy Director of Legal Services, Industrial Centres and Coordination with Europe, Director of Legal Services, Downstream, New Energies, Industrial Area Trading and Emerging Businesses, although he has also worked as a lawyer at the Uría Menéndez office.
Partner at Ramón y Cajal Abogados. Director of the area of Competition Law. Degree in Law from the Madrid Complutense University. Certificate in Advanced European Legal Studies, Colegio de Europa. Master of Laws, University of Columbia. He regularly advises on the subject of the control of concentrations and restrictive behaviour of the competition, having represented numerous companies in administrative procedures before the competition authorities.
Partner in the commercial area and M&A at ONTIER. He has a Degree in Law from the University of León and a Master’s in Corporate Legal Advisory from the Business Institute. Francisco has advised national and foreign companies and risk capital firms on operations concerning the purchase and sale of stocks and shares, both from a buyer’s and a seller’s position. He has also advised on commercial issues related to the work of the Secretary of the Board of Directors, corporate reorganization, contractual advice, and conflicts between partners.
Partner in the area of Capitals Market at ONTIER. He has a Degree in Law from the CEU Luis Vives and a Master’s in Business Administration specializing in finance from the University of Colorado in Boulder, Colorado. He has worked in several prestigious offices such as at Ramón y Cajal Abogados from 1997 to 2005, and before joining ONTIER he worked in the Madrid office of Linklaters from 2005 to 2013, running the commercial and stock market departments.
General Counsel. Teva Pharmaceuticals Spain. Degree in Law. University of Navarra and Master’s in Corporate Legal Advisory. He was an Associate Lawyer at Uría Menéndez, Legal Counsel at Microsoft and at Schering-Plough. For over 8 years, he has been Director of Legal Advice at Teva Pharmaceuticals Spain.
Partner at MCH Private Equity. He holds a Degree in Law and Business Administration from the Pontificia University of Comillas. He joined MCH in 2003 as an analyst, and has taken part in a great number of operations since then. He has been a member of the Masvisión Board of Directors, and he is currently of the Board of Directors of the Parkare Group.
Partner in the commercial area and M&A at ONTIER. He holds a Degree in Law and a Diploma in Business Administration and Management from the San Pablo CEU University of Madrid. He joined ONTIER from the lawyers’ office Bufete Barrilero y Asociados. His professional career and experience has been centred on commercial law, as well as in the area of Renewable Energy. He has worked as a consultant to both Spanish and foreign entities on national and international projects in these fields.

Partner in the commercial area and M&A at ONTIER. He holds a Degree in Law from the Complutense University of Madrid. His professional experience centres on civil, commercial and procedural law. He has worked as a legal consultant in several national and international companies in the areas of corporate law, recruitment, and financing. He has worked in fields such as: the renewable energy sector, the maritime sector and the industrial sector, as well as in the area of public law, for both judicial cases and arbitration procedures.
Counsel for labour practices. Garrigues. Degree in Law and in Business Administration and Management from the Pontificia University of Comillas. Specialised in advice on labour, social security, and work risk prevention issues for national companies - both in the private and public sector, and international companies.
Head of fiscal practice at ONTIER. He has a Degree in Law from the San Pablo CEU University. State Tax inspector (on voluntary leave). He joined ONTIER after a long career in the Administration, where he worked as Director of the Cabinet of the Treasury State Secretary.
Partner in the area of Commercial Law at Andersen Tax & Legal. He has a Degree in Law from the Pontificia University of Comillas, a Master’s in Foreign Trade from the IE and a Diploma in Fiscal Accountancy from the Pontificia University of Comillas. He was partner at Estudio Legal Abogados, Landwell – PriceWaterhouseCoopers, Roca Junyent y Olleros Abogados. He has wide experience in acquisitions and sales of companies and businesses, MBOs/MBIs, LBOs/LBIs, startups, mergers and business restructuring and joint ventures, advising corporate clients and capital risk entities, both on a national and international level. Furthermore, he is secretary of the Board of Directors and Legal Advisor.
Head of Legal and Contracting at Vestas Mediterranean. Degree in Law from the CEU San Pablo University. Master’s in Corporate Legal Advisory. IE Business School. Advanced Program, Energy Law. IE Business School. Alejandro has always worked in the energy sector, starting out as a Legal Advisor at Iberdrola Renovables, and Manager of the Legal Department at Capital Energy, until in 2008 he joined Vestas where he is currently Head of Legal and Contracting.
